Welcome to Uqudo! These are the general Terms and Conditions pertaining to the use of our Website and/or the Services available on Our Website, the Website is a copyrighted work belonging to Uqudo. By registering for an Account (as defined below) and using the Website and/ Services, You acknowledge that You have read and consented these Terms and Our Privacy Policy, which together constitute a legally binding agreement between You and Uqudo. In case that You don’t agree with these Terms or any of its amendments, please stop using the Website and Services. Your continued use of the Website and/ Services will constitute that You have read, understood and agreed to these Terms and Our policies.

Please read these Terms and Conditions carefully before using Our Service. THESE TERMS CONSTITUTE A BINDING LEGAL AGREEMENT BETWEEN YOU AND UQUDO. BY USING THIS WEBSITE AND THE RELATED SERVICES YOU UNCONDITIONALLY AGREE TO BE BOUND BY THESE TERMS, INCLUDING ALL EXCLUSIONS AND LIMITATIONS OF LIABILITY HEREIN, AND WARRANT THAT YOU HAVE FULL AUTHORITY AND CAPACITY, LEGAL AND OTHERWISE, TO USE THE SERVICES. YOU MAY NOT ACCESS OR USE THIS WEBSITE OR THE SERVICES IF YOU DO NOT AGREE TO ANY PART OF THESE TERMS. FURTHER, UQUDO RESERVES THE RIGHT TO VALIDATE YOUR IDENTITY BY CONCLUDING ANY NECESSARY KNOW YOUR CUSTOMER (“KYC”) REQUIREMENTS.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

    • Account means creating and using a unique account on the Website to access Our Services or parts of Our Services on the Website.
    • Affiliate means an entity that controls, is controlled by or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

    • Device means any device that can access the Service such as a computer, a smartphone or a digital tablet.

    • Service(s) refers to the range of services and products offered by Uqudo, as detailed on the Website and updated from time to time and further described in these Terms.
    • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Services.
    • Third-party Social Media Service means any services or content (including but not limited to data, information, products or services) provided by a third-party that may be displayed, included or made available by the Services or Website.
    • Website refers to Uqudo’s website, accessible from www.uqudo.com.
    • You (also referred to as the “User” or “Your”) means the individual accessing or using the Services, or the company, or other legal entity on behalf of which such individual is accessing or using the Services, as applicable.

Acknowledgment

Uqudo is a leading digital identity company in the EMEA region, dedicated to fostering trust and transparency in an increasingly digital world by building a robust identity layer. With a strong foundation of expertise in national identity programs for governments and regulators, Uqudo has expanded its innovative solutions to serve i.e., banks, telecom companies, insurance providers, fintech companies, startups, and more.

Using advanced digital identity technologies including but not limited to biometrics, liveness detection, NFC-based passport reading, cognitive document analysis, AI, and blockchain, Uqudo provides fast, secure, and seamless onboarding experiences. However, please note that while these solutions are designed to help organizations combat fraud, it is Your responsibility to ensure compliance with know your customer (“KYC”), anti-money laundering (“AML”), and customer due diligence (“CDD”) regulations.

These are the Terms governing the use of Our Services and/or Website and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all Users regarding the use of the Service and/or Website. By agreeing to these Terms, You are granted a personal, non-transferable, non-exclusive, royalty-free, limited license to access and utilize the Website solely for the purpose of enjoying the benefits of the Services offered within.

Your access to and use of the Service or Website are conditioned on Your acceptance of and compliance with these Terms in all events in a legitimate and legal manner. These Terms and Conditions apply to all visitors, Users and others who access or use the Services or Website.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Services.

By using this Website, You represent that you are over the age of 18 or at least eighteen (18) years of age. Uqudo does not permit those under 18 to use the Services. All contents published hereto are either licensed to, or owned by, Uqudo and are subject to legal protections. In the event of breaching these Terms Your Account shall be subject to immediate termination and all the legal measures required to preserve Uqudo’s right shall be taken.

In particular, any imperative legal provision(s) or law(s) applicable in the United Arab Emirates in relation to the Website or the provision of the Services.       12. gaining or attempting unauthorized access to any part of the Website or connected systems; and
      13. harassing, stalking, harming, or otherwise interfering with or negatively affecting another User’s normal use and enjoyment of the Website.

We reserve the right to review Your use of the Website and take appropriate action, at Our sole discretion, if You violate these Terms or cause liability, loss, or damage to Us, other Users, or third parties. Actions may include, but are not limited to, restricting or terminating Your Account, seeking recovery of losses, or reporting to law enforcement.

Representations

By creating and using an Account on the Website, You agree to make the following representations:

      1. You are legally entitled to make a request for any Services on the Website from Uqudo.
      2. You have the capacity and authority to enter into a legally binding agreement with Uqudo; and You are at least eighteen (18) years of age and, of sound mind and fully aware of the legal implications of Your own actions.
      3. You are the person whose registration details are being provided.
      4. You agree to provide and maintain correct complete and current information in the registration step or while submitting any requested KYC information, including, without limitation, Your full name, date of birth, country of residence, and contact details. You are obligated to keep all of Your information updated at all times and promptly provide Uqudo with any updates.
      5. Any funds You deposit with Us originate from legitimate sources and have no connection with any crime. You will not attempt to use the Website for the purpose of any illegal activity including money laundering. You will comply with Our KYC protocols to enable Us to meet Our legal and regulatory obligations, including providing all information We may require verifying Your identity, residential address and origin of funds. Uqudo reserves the right to monitor User actions within the Website while using Our Services and purchasing products to detect and prevent unethical behavior or fraudulent activity.
      6. You are not insolvent, bankrupt, or subject to any legal restriction limiting Your ability to enter into these Terms and Conditions or make a request for the Services.
      7. You cannot assign, sell or transfer Your Account to any other third party.

 

Scope of Services

Our scope of Services, which may be updated from time to time at Our discretion, includes the following:

 

1. Identity Verification and Screening:

Uqudo offers advanced digital identity solutions to verify and authenticate individual identities, ensuring secure and compliant onboarding processes for organizations. These include:

    • KYC+: Advanced customer identity verification.
    • AI Document Scanning: Authentication and extraction of data from identity documents.
    • Document Verification: Verification of documents via government data integrations.
    • Face Verification: Secure and quick identity confirmation using facial recognition technology.
    • Enhanced Due Diligence: Additional layers of security, including AML screenings, sanctions, Politically Exposed Persons (PEPs) checks, adverse media screening, and ongoing AML monitoring.

2. Business Verification (KYB):

Uqudo facilitates the verification of business entities to ensure their trustworthiness. Services include:

    • AI Document Scanning: Authentication and extraction of company document data.
    • Document Verification: Verification of company documents via government data integrations.
    • AML for Business: Ensuring compliance with AML regulations for businesses.

3. Authentication Solutions:

Uqudo provides secure authentication services to enhance user experience and prevent fraud. These include:

    • Passwordless Login: Secure login using biometric data such as facial recognition.
    • Biometric Authentication: Authentication via face, fingerprint, palm, or voice recognition.
    • Two-Factor Authentication (2FA): Enhanced security using facial recognition as an additional factor.
    • FIDO2 Authentication: Use of common devices for secure online authentication.
    • Account Recovery: Password recovery using facial recognition.
    • Transactional Authorization: Payment validation through biometric data.

4. Transaction Monitoring

Uqudo offers robust transaction monitoring services to help organizations comply with anti-money laundering (AML), combating the financing of terrorism (CFT), and other relevant regulations. These include:

    • Transaction Screening: Real-time monitoring of transactions to detect suspicious activity such as unusual transaction volumes or patterns, in line with AML regulations.
    • Risk-based Monitoring: Categorizing transactions based on risk levels and flagging high-risk activities for further investigation.
    • Sanctions and PEP Screening: Identifying transactions linked to individuals or entities on sanctions lists or associated with Politically Exposed Persons (PEPs).
    • AML Reporting: Generation of alerts and reports for compliance with regulatory authorities, including suspicious activity reports (SARs).
    • Continuous Monitoring: Ongoing tracking of transaction data to ensure compliance with evolving regulations and internal risk policies.

5. Technology and Compliance:
Using cutting-edge technologies like biometrics, liveness detection, NFC-based passport reading, cognitive document analysis, AI, and blockchain, Uqudo ensures a seamless, secure, and compliant onboarding process. These solutions combat fraud while ensuring full compliance with KYC, AML, CDD and transaction monitoring regulations.

You acknowledge that each Service provided by Uqudo can be accessed independently, and subscribing to one Service does not obligate You to subscribe to others.

 

User Account

Users must create an Account to access the Website and Services by providing a full name, mobile number, and email address. You represent that all information submitted is true, accurate, and current, and You agree to update it as necessary or requested by Uqudo. Users are solely responsible for maintaining the confidentiality of their Account credentials and for all activities under their Account. Uqudo is not liable for unauthorized access resulting from misuse of Account credentials. Users must notify Us immediately of any unauthorized use or security breach. Accounts are non-transferable, and fraudulent activities, such as impersonation, may result in suspension, termination, or legal action. You may delete Your Account at any time, and We reserve the right to suspend or terminate Accounts at Our sole discretion.

 

User Content

“User Content” means any material that You submit or transmit in any manner to the Website for any purpose, and includes, but is not limited to, any text, data, and images. This Website and the Services it provides may include multiple ways of submitting User Content, including, for example, through use of forums, chats, online bulletin boards, and similar tools that allow visitors to submit content. You agree to indemnify and hold Us harmless from any claims, damages, or expenses arising from Your User Content or its misuse.

We retain the right to terminate Your access to the Website or Services if You violate this provision or submit User Content that We deem inappropriate, harmful, or unlawful.

 

User’s Obligations

You are required to pay all applicable fees and charges for the Services You use through Uqudo. By using Uqudo’s Services, You authorize Us to deduct any outstanding fees directly from Your designated payment method without prior notice. If Your payment method lacks sufficient funds to cover Your dues, Uqudo reserves the right to suspend or terminate Your Account, either temporarily or permanently. Please note that Account suspension or termination does not release You from Your obligation to settle any unpaid dues. Also, Uqudo reserves the right to pursue legal action to recover any outstanding fees or charges owed to the Company.

 

User Content License

While You retain full ownership rights in Your User Content, by submitting User Content You grant Uqudo an irrevocable, non-exclusive, royalty-free, sublicensable and transferable license to use, publish, copy, adapt, modify, process, reproduce, transmit, distribute, translate, publicly and privately display and perform, incorporate into other works, and prepare derivative works. This license includes the right to provide the User Content to Our third-party partners or service providers to provide You the Services, subject to Our Terms for the use of such User Content. You represent and warrant that You have all rights, power, and authority to grant all the rights pertaining to Your User Content as outlined in these Terms.

You acknowledge that You are not entitled to any compensation for granting this license.

 

Advertisements

The Services and/or Website may include advertisements, some of which may be targeted based on the information on the Website, Your queries made, or other data or information submitted by You or others. The types and quantity of advertisements on the Website or through the Services is subject to change at any time at Uqudo’s sole discretion.

We reserve the right, at Your expense, to assume exclusive control over the defense of any claim or dispute for which You must indemnify Us. You agree to cooperate fully with Us in defending such claims or disputes, and You agree not to settle any such claims or disputes without Our prior written consent. Termination

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven’t purchased anything through the Service.

To the maximum extent permitted by applicable law, the Company, including its subsidiaries, officers, directors, shareholders, employees, contractors, Affiliates, partners, suppliers, agents, and licensors, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, good-will, or other intangible losses arising from:

The Company disclaims responsibility for unsatisfactory performance or delays by third-party service providers and does not make representations or warranties regarding their products or Services. Warranties on such products or services will be governed by the terms of the respective service provider(s).

In states or jurisdictions where exclusions or limitations of implied warranties or liability for incidental or consequential damages are not allowed, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the maximum extent permitted by law.
